Acceptance of Terms

By accessing and using the quantatrixa platform and services, you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service ("Terms") constitute a legally binding agreement between you and quantatrixa Ltd ("quantatrixa", "we", "our", or "us"), a company registered in Ireland with registration number CRO852697.

If you do not agree to abide by the above, please do not use our services. Your continued use of our platform constitutes your acceptance of these Terms and any modifications thereto.

Description of Service

quantatrixa provides fitness community platform engagement tools designed to help gyms, fitness centres, and wellness communities connect with and engage their members. Our services include but are not limited to:

• Community engagement and member management tools
• Analytics and insights dashboards
• Challenge and competition platforms
• Integration services with existing systems
• Custom development and white-label solutions

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to users.

User Accounts and Registration

To access certain features of our platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised use of your account

We reserve the right to refuse registration or cancel accounts at our discretion, particularly if we suspect fraudulent or inappropriate activity.

User Obligations

As a user of quantatrixa services, you agree to:

• Use our services only for lawful purposes and in accordance with these Terms
• Not use our platform to transmit or distribute harmful, offensive, or illegal content
• Respect the privacy and rights of other users
• Not attempt to gain unauthorised access to our systems or other users' accounts
• Not interfere with the proper functioning of our platform
• Comply with all applicable laws and regulations in your use of our services
• Not reverse engineer, decompile, or attempt to extract source code from our platform
• Not use our services to compete with quantatrixa or develop competing products

Payment Terms

For paid services, the following terms apply:

• Fees are charged in advance on a monthly or annual basis as specified in your plan
• All fees are non-refundable unless otherwise specified
• We may change our pricing with 30 days' notice
• Failure to pay fees may result in suspension or termination of services
• You are responsible for all taxes associated with your use of our services

Intellectual Property

The quantatrixa platform, including all software, designs, text, graphics, and other content, is the exclusive property of quantatrixa and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use our platform in accordance with these Terms. You may not:

• Copy, modify, or distribute our software or content
• Remove or alter any proprietary notices
• Use our trademarks or branding without permission
• Create derivative works based on our platform

You retain ownership of any content you upload to our platform, but you grant us a licence to use such content as necessary to provide our services.

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

We implement appropriate security measures to protect your data, but you acknowledge that no system is completely secure and you use our services at your own risk.

Service Availability

We strive to maintain high availability of our services, but we do not guarantee uninterrupted access. Our platform may be temporarily unavailable due to:

• Scheduled maintenance
• Emergency repairs
• Technical difficulties
• Circumstances beyond our control

We will provide reasonable notice of scheduled maintenance when possible.

Limitation of Liability

To the maximum extent permitted by law, quantatrixa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, resulting from your use of our services.

Our total liability to you for all claims arising from or related to these Terms or our services shall not exceed the amount you paid to us in the twelve months preceding the claim.

We provide our services "as is" without any warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

Indemnification

You agree to indemnify and hold harmless quantatrixa, its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third party's rights
• Any content you submit through our platform

Termination

Either party may terminate this agreement at any time:

• You may cancel your account through your account settings or by contacting us
• We may terminate your access for breach of these Terms
• We may terminate with notice if we discontinue our services

Upon termination, your right to use our services ceases immediately. We may delete your account and data following termination, subject to our data retention policies and legal obligations.

Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.

If you are a consumer resident in the European Union, you may also bring proceedings in your country of residence, and nothing in these Terms affects your statutory consumer rights.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by email or through our platform. Your continued use of our services after changes become effective constitutes acceptance of the new Terms.

If you do not agree to modified Terms, you should discontinue use of our services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and quantatrixa regarding your use of our services and supersede all prior agreements and understandings.
